Important notice
BizAssistant is an AI receptionist service for U.S. businesses of many types. It answers inbound calls, can use the business information you approve to answer common questions, can book or take appointment requests where configured, can route urgent calls according to your instructions, and can send call details or summaries.
The current public plans are $100, $200, and $300 per month, which include 200, 400, and 600 minutes of talk time respectively; extra minutes are 50¢ each. Every plan includes the same features. The 14-day trial requires no credit card and begins only when your receptionist is activated. Requesting or submitting a setup does not start billing or the trial.
Sections 20 through 23 contain important warranty disclaimers, limits of liability, indemnity obligations, and dispute-resolution terms, including individual binding arbitration and class and jury waivers to the extent permitted by law.
1. Agreement; business use; authority
1.1 Parties. BizAssistant is a brand and service owned and operated by BIZASSISTANT.AI LLC (“BizAssistant,” “Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are an agreement between Company and the business or person accessing or using the website, demo, setup flow, trial, or paid service (“you” or “Customer”).
1.2 U.S. business use and availability. BizAssistant is currently offered only to businesses, nonprofits, professional practices, and other organizations operating in the 50 U.S. states and Washington, D.C. It is not offered for businesses outside that service area or as a personal, family, or household consumer product. The public setup flow therefore accepts U.S. business time zones only.
1.3 Authority. If you act for a business or organization, you represent that you are authorized to provide its information, configure its receptionist, connect its systems, and bind it to any agreement you affirmatively accept for paid service.
1.4 Acceptance. By accessing or using the website, demo, setup flow, trial, or Services after these Terms are made available, you agree to these Terms to the extent enforceable under applicable law. A paid-service checkout, order, invoice, statement of work, or other written order we both accept (“Order”) may contain additional or different commercial terms; expressly conflicting Order terms control for that Order.
2. Current public offering
Every public plan includes the same features. The only difference between plans is the amount of talk time included each month. The public rate is 50¢ per minute of talk time, and extra minutes beyond a plan’s included amount are billed at the same 50¢ per minute; we do not charge a higher “overage” rate.

Extra minutes beyond the included amount are 50¢ per minute. Additional blocks of 200 minutes may be added for $100. The estimated call counts above assume roughly three minutes per call and are illustrative only; your actual call count depends on how long your callers talk.
Every plan includes personal setup, 24/7 inbound call answering as your business, responses using the business information you provide, supported appointment booking or booking requests, urgent-call routing to a number you designate where configured, a text and email recap after each call, missed-call text-back for calls that are not answered, review-request messages after completed appointments where you enable them, one business number, and a weekly call report. Features depend on configuration, connected systems, carriers, providers, and the information you supply, and can change as described in Section 18.
3. Verified setup flow and preparation
3.1 Email verification. The public setup flow starts by verifying the email address you provide. Verification links are time-limited. After verification, an authenticated browser session can allow you to save and return to setup details for a limited period.
3.2 Information you provide. The setup can ask for your business name, business number, website, hours, U.S. business time zone, services and service area, calendar preference, booking and urgent-call preferences, special instructions, and a number for summaries or urgent transfers. If you choose automatic appointment booking, the current standard workflow requires a supported Google Calendar, Outlook, or Apple Calendar configuration; otherwise the receptionist can take a booking request for confirmation.
3.3 Preparation target. After we confirm sufficient setup details with you, we aim to have the receptionist ready within 24 hours. This is a preparation target, not a guaranteed service level. Complex integrations, missing information, provider issues, custom requests, or unusually complex configurations can take longer.
3.4 No automatic activation. Submitting a setup does not change your phone routing, activate the receptionist, start the trial, or authorize a paid charge. We send or provide activation and forwarding instructions separately.
4. 14-day free trial; activation
The current public trial lasts 14 days on any plan, includes that plan’s monthly talk time, and does not require a payment card in the website setup form. The trial starts only when the receptionist is actually activated for your business, not when you enter an email address, verify an email, save a draft, or submit setup details. You can decide not to activate after setup.
If you do not select and authorize paid service after the trial, the trial service may stop or become unavailable when the trial period ends. Turning off call forwarding or routing does not by itself cancel an already-authorized paid subscription; use the cancellation method for the paid plan as well.
5. Paid plans, billing, renewal, cancellation, and refunds
5.1 Separate payment authorization. The current public website setup does not collect a card and does not automatically convert the free trial into a paid subscription. To continue on a paid plan, you must separately select a paid option and authorize the applicable payment terms through the onboarding, invoice, checkout, or payment process we provide.
5.2 Monthly plans. The public monthly prices are $100 (Solo, 200 minutes), $200 (Small team, 400 minutes), and $300 (Busy shop, 600 minutes). If you authorize a recurring monthly subscription, it is billed according to the payment terms shown when you authorize it. The public site describes the monthly plans as cancel-anytime. Cancellation stops future renewals and does not retroactively undo a period already purchased. You may change plans; a change takes effect as disclosed when you make it, ordinarily at the next billing date.
5.3 Annual plans. The public annual prices are $1,000, $2,000, and $3,000, billed annually when selected. Each is two months less than twelve monthly payments of the same plan. If the annual payment arrangement is recurring, its renewal timing and cancellation method will be disclosed when you authorize it. Canceling an annual recurring plan prevents the next renewal; it does not create a prorated refund of the current prepaid annual period except where applicable law requires otherwise.
5.4 Talk time, measurement, and extra minutes. Talk time means connected inbound call time handled by the receptionist, including time spent taking a message or transferring a call, measured per call and rounded up to the next whole minute. Included minutes reset each billing month and do not roll over. Minutes used beyond the included amount in a billing month are billed at 50¢ per minute in arrears, on the next statement or charge under the payment terms you authorized, or you may purchase additional blocks of 200 minutes for $100 in advance. Text messages, emails, and the weekly report are not counted as talk time. Missed-call text-back and review-request messages do not consume minutes.
5.5 Fees and taxes. You are responsible for authorized fees and applicable taxes. Carrier charges, internet service, calendar subscriptions, phone-system charges, and other third-party costs are separate unless an Order expressly says otherwise.
5.6 Refunds. Except where applicable law requires otherwise or we expressly promise otherwise in writing, paid fees are non-refundable and are not prorated after a billing period begins.
5.7 Cancellation method. If no self-service cancellation method is available for your paid plan, you may request cancellation by emailing [email protected]. We may use reasonable verification to prevent unauthorized cancellation of a business account.
6. What the service can do
Depending on configuration and technical support, BizAssistant can answer inbound calls day and night; use your approved hours, prices, service information, service area, and other common answers; book appointments into supported calendars or take a booking request; take messages; route calls to designated people or numbers; identify calls as urgent based on rules you approve; send call details or summaries; and screen for obvious robocalls or sales calls. We may add, remove, or change features over time, but a material reduction to a paid service already purchased is subject to any applicable Order and law.
7. Included minutes; fair business use
Each plan includes the talk time stated in Section 2 for legitimate inbound receptionist calls to the business configuration we approve. There is no cap on the number of calls, and simultaneous calls are supported; usage is measured in minutes as described in Section 5.4. We do not charge a higher rate for long, frequent, or simultaneous calls; extra minutes are billed at the same 50¢ per minute.
Included minutes do not authorize abuse or a different product category. The service does not include outbound calling campaigns, telemarketing blasts, resale or white-label call-center service, traffic generation designed mainly to consume resources, automated call loops, denial-of-service activity, fraudulent or unlawful traffic, harassment, malicious testing, or use intended to bypass technical or contractual limits. We may investigate unusual traffic and may suspend or limit service under Section 18 where we reasonably believe such use is occurring.
Each plan includes one business number. If you request additional numbers, materially separate businesses or locations, brands, custom workflows, outbound programs, or other work beyond the standard receptionist service, we may quote that work separately before performing it.
8. Your phone number, forwarding, and routing
You generally keep the business number your customers already know and route supported calls to BizAssistant using your carrier or phone system. You choose which supported calls to forward, such as all calls, missed calls, after-hours calls, or other supported patterns. You are responsible for your carrier account, forwarding settings, phone-system charges, and any limitations imposed by your carrier or provider.
Call forwarding and routing can fail because of carrier outages, account settings, number configuration, internet or telecom failures, device settings, or third-party restrictions. You should test your setup before relying on it and keep a practical fallback for important calls.
9. Customer responsibilities
You are responsible for:
- providing accurate, current, lawful business information and call-handling instructions;
- reviewing and testing the receptionist before relying on it;
- keeping your account, email, phone, calendar, and connected-system access secure;
- deciding which calls to route to the service and maintaining an appropriate human fallback;
- monitoring appointments, transfers, messages, and urgent matters that require human action;
- giving required notices and obtaining required permissions for call recording, transcription, texting, automated communications, and connected data;
- complying with laws, industry rules, licenses, professional obligations, and privacy requirements that apply to your business; and
- not using BizAssistant in a way that misleads callers about who is responsible for the business or professional service.
10. AI disclosure, call recording, SMS, and email
10.1 Automated receptionist. BizAssistant uses automated and AI systems. You must not configure or present the service in a way that unlawfully deceives a caller about automated processing.
10.2 Recording and transcription. Call audio is processed to answer calls. Recording, transcription, summarization, and classification may be enabled depending on the configuration and providers used. You are responsible for determining and implementing the disclosure and consent rules that apply to your callers, locations, and industry. Do not assume BizAssistant’s default wording alone satisfies every law.
10.3 Text and email. We may send transactional email or text communications related to a setup request, verification, activation, service, booking, call summary, support, or billing when you provide or designate an address or number for that purpose. Message and data rates may apply. Separate consent is required where law requires it for marketing messages.
Missed-call text-back and review requests. Where enabled, the service can send a text message to a caller whose call was not answered, and can send a review-request message to a customer after a completed appointment. These messages are sent on your behalf, from a number associated with your business, to people who have contacted your business. You are responsible for ensuring that sending them is lawful for your business and your callers, for honoring opt-out requests, and for the content of any review-request message you approve. We register business messaging with carriers as required and may suspend messaging that violates carrier or legal requirements.
11. Calendars and integrations
BizAssistant can work with supported calendar and communication systems, including Google Calendar, Outlook Calendar, and Apple Calendar workflows where supported. Automatic booking requires a supported calendar configuration. If you use no calendar, an unsupported calendar, or prefer human confirmation, the receptionist can instead take a booking request for your team to confirm. Connecting or using an integration authorizes the information exchange reasonably needed to perform the requested function. Third-party systems can change APIs, permissions, availability, or pricing without our control.
12. Acceptable use and restricted data
You may not use the website or Services for unlawful, fraudulent, deceptive, harassing, threatening, discriminatory, infringing, exploitative, spam-related, or abusive purposes; to distribute malware; to attack, scrape, probe, reverse engineer, or bypass our systems; to extract protected prompts or configurations; to impersonate another business without authorization; or to interfere with other customers.
BizAssistant may be used by businesses in regulated industries for administrative reception only if the use is lawful and appropriately supervised. Do not configure the receptionist to make autonomous high-impact decisions, provide emergency dispatch, provide diagnoses, prescribe treatment, give individualized legal, tax, investment, or financial advice, make credit or insurance eligibility decisions, or replace a licensed professional where human professional judgment is legally required.
Do not submit passwords, authentication codes, complete payment-card numbers, bank-account credentials, Social Security numbers, or other secrets that are unnecessary for ordinary receptionist setup. Do not ask callers to provide such data unless we have expressly agreed in writing to a compliant workflow designed for it.
13. AI output and human review
AI-generated speech, transcripts, summaries, extracted names, numbers, prices, dates, classifications, routing decisions, appointment entries, and other outputs can be inaccurate, incomplete, misunderstood, mistranscribed, delayed, duplicated, omitted, or unavailable. You must review important information and keep humans in the loop for decisions or actions that matter to health, safety, legal rights, finances, access to services, or other high-impact interests.
The service does not guarantee that every call will connect, every caller will remain on the line, every transfer will succeed, every message will arrive, or every appointment will be created correctly. Never use it as the sole way to handle emergencies.
14. Your content and instructions
You retain your rights in the business information, scripts, instructions, caller data, and other content you or your callers provide (“Customer Content”). You grant Company and its providers a non-exclusive, worldwide, limited license to host, transmit, reproduce, transform, and otherwise process Customer Content as reasonably necessary to provide, secure, support, troubleshoot, and improve the specific service you request; comply with law; and enforce our agreements.
You represent that you have the rights, notices, consents, and lawful basis needed for Customer Content and for the processing you instruct us to perform. We may use feedback you voluntarily give us to improve BizAssistant without payment or confidentiality obligation unless we separately agree otherwise.
15. BizAssistant intellectual property
Company and its licensors retain all rights in BizAssistant, including the website, software, designs, prompts, workflows, service configurations, documentation, branding, and improvements. Except where applicable law prohibits the restriction, you may not copy, resell, sublicense, white-label, reverse engineer, scrape, circumvent access controls, publicly benchmark for a competing commercial purpose, or use the service to build or train a competing product without written permission.
16. Privacy and security
Our Privacy Policy explains our information practices. Customer businesses are responsible for their own privacy notices and legal obligations to callers, employees, customers, and other people whose information they direct us to process. We use measures designed to protect the information we handle, but no online, AI, telecommunications, or third-party system is completely secure.
17. Third-party services
BizAssistant depends on third parties for telecommunications, hosting, internet connectivity, AI models, speech services, messaging, email, calendars, security, payments, and other infrastructure. Those services can change, fail, delay, throttle, suspend, or discontinue functions. We are not responsible for third-party websites or services you choose to use, and their terms and privacy notices govern your relationship with them.
18. Availability, changes, suspension, and termination
We may maintain, change, or temporarily interrupt the website, demo, setup flow, or service for security, maintenance, provider changes, abuse prevention, legal compliance, or technical reasons. We may suspend or terminate access for nonpayment, unlawful use, material breach, security risk, abusive traffic, or use that threatens the service or others. Legitimate inbound call volume by itself is not a breach of these Terms; minutes beyond a plan’s included amount are simply billed at 50¢ per minute under Section 5.4.
You may stop forwarding calls at any time through your carrier or phone system. Stopping forwarding does not automatically cancel a paid subscription. On termination, provisions that by their nature should survive continue, including payment obligations already incurred, intellectual property, confidentiality where applicable, disclaimers, liability limits, indemnification, dispute resolution, and general terms.
19. No guaranteed business results
Examples, sample calls, missed-call calculations, booking scenarios, and comparisons on the website are illustrative. We do not guarantee a number of calls, customers, appointments, leads, sales, revenue, savings, response rate, conversion rate, customer satisfaction, or other business result. Spam screening reduces some unwanted calls but cannot identify every unwanted call or guarantee that a legitimate caller will never be screened incorrectly.
20. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR AN EXPRESS WRITTEN COMMITMENT IN AN ORDER, THE WEBSITE, DEMO, SETUP FLOW, TRIAL, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COMPANY DISCLAIMS ALL OTHER EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, UNINTERRUPTED OR ERROR-FREE OPERATION, AND RESULTS.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
21. Limitation of liability; claim period
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES, OWNERS, PERSONNEL, CONTRACTORS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, REVENUE, CUSTOMERS, APPOINTMENTS, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, OR FOR BUSINESS INTERRUPTION OR SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, DEMO, SETUP FLOW, TRIAL, OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID COMPANY FOR THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
Nothing excludes or limits liability to the extent applicable law does not permit the exclusion or limitation. Except where a shorter or longer period is required by law, any claim arising out of or relating to these Terms must be commenced within one year after it accrues or it is barred.
22. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Company and its affiliates, owners, personnel, contractors, licensors, suppliers, and service providers from third-party claims, demands, investigations, penalties, fines, losses, liabilities, damages, judgments, settlements, costs, and reasonable attorneys’ fees arising out of or relating to your business; Customer Content or instructions; your recording, transcription, messaging, privacy, advertising, professional, or industry-compliance obligations; your violation of law; your breach of these Terms; or your misuse of the website or Services.
We will provide reasonable notice of a covered claim when practicable. You may not settle a claim in a way that admits wrongdoing by or imposes an obligation on an indemnified party without that party’s written consent.
23. Informal resolution; binding arbitration; class and jury waivers
PLEASE READ THIS SECTION CAREFULLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT REQUIRES INDIVIDUAL BINDING ARBITRATION AND WAIVES CLASS, COLLECTIVE, REPRESENTATIVE, AND JURY PROCEEDINGS.
23.1 Informal notice. Before filing a claim, a party must send a written notice describing the dispute, the supporting facts, and the requested relief to [email protected] and allow 30 days for good-faith informal resolution. Any applicable limitations period is tolled during that 30-day period to the extent enforceable.
23.2 Arbitration. Except for the exceptions below, an unresolved dispute arising out of or relating to these Terms, BizAssistant, the website, the demo, setup, trial, or Services will be resolved by final and binding individual arbitration before one arbitrator administered by JAMS under the rules applicable to the dispute. The Federal Arbitration Act governs this arbitration provision. The arbitration will be seated in San Diego County, California, and hearings may occur remotely unless the arbitrator requires otherwise.
23.3 Individual proceedings only. The arbitrator may award any individual remedy available in court but may not consolidate claims or preside over a class, collective, coordinated, mass, or representative proceeding except as required by non-waivable law or an applicable JAMS rule. If a court determines that a particular claim or request for relief cannot lawfully be arbitrated on an individual basis, that claim or request is severed and may proceed in court after the arbitrable matters are resolved.
23.4 Exceptions. Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or injunctive relief in court for unauthorized access, misuse, intellectual property, confidentiality, or security matters. If arbitration is unenforceable for a dispute, the exclusive venue for that dispute is the state and federal courts located in San Diego County, California, and each party waives a jury trial to the maximum extent permitted by law.
24. General terms
California law governs these Terms without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 23. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, fiduciary relationship, franchise, or employment relationship.
Neither party is liable for delay or failure, other than a payment obligation, caused by events beyond its reasonable control, including telecommunications, carrier, internet, utility, cloud, AI-model, calendar, messaging, or other provider failures; cyberattacks; governmental action; natural disasters; labor disputes; war; terrorism; or widespread outages.
You may not assign these Terms without our written consent except in connection with a sale of substantially all of your business or assets and with written notice to us. We may assign these Terms in connection with a financing, reorganization, merger, acquisition, sale of assets, or transfer of the BizAssistant business.
If any provision is unenforceable, it will be modified or severed to the minimum extent necessary and the remainder stays effective. A failure to enforce a provision is not a waiver. Headings are for convenience. Electronic records and signatures may be used where lawful.
These Terms, together with an applicable Order and the Privacy Policy, are the agreement on their respective subjects and supersede prior statements on those subjects. We may update these Terms by posting a revised version. Material changes to an active paid subscription will be handled as required by the applicable Order and law.
